Edward Wyllis Scripps currently operates five acute care facilities totaling nearly 1,400 beds, two medical groups with 14 outpatient clinics, a home health agency and a health plan.
The problem is that Scripps -- like many newspaper companies once privately owned by individuals and their descendants -- has two classes of stock and the heirs of Edward Wyllis Scripps not only have a 44-percent equity stake in the company, but they also have 87-percent control of shares that elect two-thirds of the company's directors.
