In the final regulations, the language in subparagraph
(F) was changed to "is neither a nonmember that becomes a member nor a member that becomes a nonmember as part of, or in contemplation of, the disposition or plan." This change would seem to solve the problem, because if S did not exist prior to the plan, S could not be said to be a "nonmember" who becomes a member.
